Terms and Conditions of Use

1. Parties

These Terms govern the relationship between PLATCOM SAS, a company identified with Tax ID (NIT) 900405003-6, domiciled at Calle 118 No. 19-52, Of. 204, Bogotá D.C., Colombia, phone +57 320 4919308 (hereinafter, "ZERTI"), and the user or customer that engages or uses the services offered through zerti.co and its subdomains (hereinafter, the "Customer" or "User").

Accessing the site, creating an account, or using any of its services implies full, express and unreserved acceptance of these Terms. If the User does not agree, they must refrain from using the platform.

2. Purpose of the service

ZERTI is a Software-as-a-Service (SaaS) platform that allows the Customer to:

• Design templates for digital certificates, diplomas and credentials.
• Issue certificates to their students or participants with a unique serial identifier and a QR verification code.
• Offer holders a public portal to download, share and validate the certificates they receive.
• Optionally, timestamp certificates on the Bitcoin network (OpenTimestamps) or issue them as verifiable credentials (Open Badges 3.0).

3. Registration and account

To use the platform the Customer must create an account with truthful, complete and up-to-date data. The Customer is solely responsible for keeping their password confidential and for all activity carried out under their account.

ZERTI may suspend or close accounts that provide false information, breach these Terms, or are used for unlawful activities.

4. Plans, pricing and billing

ZERTI offers a free plan with usage limits and paid plans with additional features, listed on the /precios page. Prices may be displayed in USD or COP; actual charges are made in USD, unless expressly agreed otherwise, through the payments provider Stripe.

Payments are recurring (monthly or annual, depending on the plan chosen) and renew automatically until the Customer cancels from their panel. Cancellation takes effect at the end of the already paid period; no refunds are given for partial periods, save where required by law.

ZERTI may update prices with reasonable prior notice sent to the registered email address. A Customer that does not accept the new price may cancel before the next renewal.

5. Acceptable use

The Customer agrees NOT to use the platform to:

• Issue false certificates or ones that mislead about achievements, degrees or skills not actually obtained by the holder.
• Impersonate natural or legal persons.
• Upload unlawful, defamatory, obscene content or content that infringes third-party rights.
• Perform reverse engineering, massive scraping, denial-of-service attacks, or any attempt to breach the security of the platform.
• Send unsolicited bulk communications (spam) to certificate holders.

6. Customer content

The Customer retains all rights over the data, logos, templates and content uploaded to the platform. ZERTI acts as Data Processor for the personal data of the holders that the Customer issues (e.g., participants of a course).

The Customer represents and warrants that they hold the necessary authorizations to process the personal data of such holders, including, where applicable, the consent required by the applicable law.

The Customer grants ZERTI a limited, non-exclusive and revocable license to store, process and display such content for the sole purpose of providing the contracted service.

7. Personal data

The processing of personal data by ZERTI is governed by the Personal Data Processing Policy, which forms an integral part of these Terms.

8. Intellectual property

The "ZERTI" brand, the software, the design of the site, texts, icons and all other elements that make up the platform are owned by PLATCOM SAS or its licensors and are protected by applicable intellectual property laws.

Nothing in these Terms transfers to the Customer any rights over those elements, except the limited, non-exclusive and non-transferable license needed to use the service for the term of the contract.

9. Availability and changes

ZERTI makes reasonable efforts to keep the service available 24/7, but does not guarantee uninterrupted operation. Maintenance windows, incidents or third-party outages (cloud providers, DNS, networks) beyond ZERTI's reasonable control may occur.

ZERTI may improve, modify or discontinue features. Where a change materially affects the contracted plan, the Customer will be notified with reasonable advance notice.

10. Limitation of liability

To the maximum extent permitted by applicable law, ZERTI shall not be liable for lost profits, indirect damages, loss of data caused by the Customer's improper use of the account, or for content uploaded by the Customer.

ZERTI's total, cumulative liability for any claim arising from the contractual relationship shall not exceed the amount actually paid by the Customer to ZERTI in the twelve (12) months prior to the event giving rise to the claim.

11. Termination

The Customer may cancel their account at any time from the configuration panel. ZERTI may terminate the service for cause (breach of these Terms) with immediate effect, or without cause with thirty (30) days' prior notice.

Upon termination, ZERTI will keep data for the time strictly necessary to comply with legal, accounting or claim-defense obligations; the remainder will be deleted or anonymized.

12. Changes to the Terms

ZERTI may update these Terms. Prior versions are archived and available upon request. Material changes will be notified to the Customer's email with reasonable advance notice; continued use of the service after the effective date implies acceptance of the new version.

13. Governing law and jurisdiction

These Terms are governed by the laws of the Republic of Colombia. Any dispute shall be submitted to the competent courts of Bogotá D.C., Colombia, with express waiver of any other forum.
